Mergers And Acquisitions

This course introduces students to the legal principles that underlie mergers and acquisitions, including those relating to the fiduciary duties and other obligations of company boards of directors, the role of shareholder voting, externalities arising from some merger/acquisition transactions, state anti-takeover statutes, disclosure requirements arising from the securities laws, and the effects of mergers and acquisitions on other constituencies (beyond shareholders and management). Pre-requisite: A515 Business Organizations.
