Cross-Border Business Transactions

This course uses a hypothetical transaction in which a foreign solar company purchases a Seattle-based solar company. The course covers the policies of the US government toward foreign direct investment (FDI). We analyze the business objectives of the purchaser including consideration of the target’s Environmental Social Governance (ESG) profile and the legal and financial documents commonly used at different stages of cross-border transactions. Finally, we cover various types of acquisition and post-acquisition cross-border finance.
