An advanced course in drafting and negotiating representative technology business agreements. The course will survey such documents as a technology development agreement, a technology license agreement, an employee agreement, a web site development agreement, a web commerce agreement, a source code escrow agreement, and a technology evaluation agreement. The objective: through structured writing and negotiation assignments, class discussion, and evaluative feedback, to expose students to key legal, practical and strategic issues, and to provide practice in negotiating and drafting clear, accurate, and effective contracts for real-world transactions. Credit/no credit grading.
